What is the Memorandum of Incorporation
The Memorandum of Incorporation (MOI), also known as the CoR 15.1A document, serves as the constitution and guiding document specifying what a company is permitted to do or not do. It supersedes the previous Memorandum of Association (MOA) (under the old Companies Act of 1973) and aligns with the Companies Act of 2008. The Companies and Intellectual Property Commission (CIPC) issues a standard MOI whenever a company is registered, with the option for companies to request amendments to its MOI as long as such amendments comply with the Companies Act (the amended MOI must be filed with CIPC). This article aims to clarify what a standard MOI means particularly as it refers to section numbers of the Companies Act, which may be unfamiliar to many.
